These Terms of Use (“Terms”) form a binding agreement between you (“you,” “your,” “user”) and Online Social Club LLC (“Online,” “we,” “us,” “our”).

By creating an account, downloading or accessing the Online app, or using any part of the Online service (the “Service”), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

  • You must be 18 years or older.
  • You must have legal capacity to enter into these Terms.
  • You must not have been previously banned or removed from the Service.

Online does not knowingly collect personal information from individuals under 18. If we learn that a user is under 18, we may terminate the account and delete associated data.

2. The Service

The Service provides a social-discovery and messaging platform that helps people stay connected and meet new people by proximity, shared interests, mutual connections, and being “Online.”

Core features may include:

  • User profiles and photos.
  • Proximity-based discovery using your device’s GPS location to sort and surface nearby users.
  • Mutual connections based on overlapping “Connections” (contacts both users have added).
  • User-submitted interests, traits, and gender fields.
  • Messaging between users.
  • Optional contact upload to discover which of your phone contacts are already on Online.
  • Sponsored or promotional content integrated into the experience.

Online does not use artificial intelligence or machine learning in the app. Matching and recommendations are based on user-submitted information, filters, and proximity rules.

We may add, modify, or remove features at any time, with or without notice, and we are not obligated to maintain any particular feature or functionality.

3. Account & Profile Information

You agree to provide accurate, current, and complete information in your account and profile, and to update it as needed. The Service may collect and store, among other things:

  • Birth date (used to verify you are 18+ and to display age).
  • Gender (as you choose to identify and submit).
  • Traits and interests (descriptive tags and fields you choose to provide).
  • Profile photos and other user-generated content.
  • Phone number (for account verification and login).

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

4. GPS Location Data

With your permission, Online uses your device’s GPS-level location to provide proximity-based features, including:

  • Discovering nearby users.
  • Sorting and ranking profiles by proximity.
  • Showing who is “around and Online.”
  • Supporting safety, abuse prevention, and fraud detection.

Exact GPS coordinates are not shown to other users; they see relative proximity and other derived signals. You can disable location access at any time in your device settings, but certain features may not function without it.

We do not guarantee the accuracy, precision, or availability of location data, which can be affected by network conditions, device settings, and other factors.

5. Mutual Connections

The Service may display “mutual connections” between you and another user when both of you have independently added the same person as a “Connection” within the app.

By adding a contact as a Connection, you represent that:

  • You know this person and have a legitimate relationship with them.
  • You have the right to share their information for the limited purpose of connection discovery.

6. Phone Contacts & Access Permission

With your explicit device-level permission, the Service may access your phone’s contacts (names and phone numbers) to:

  • Identify which of your contacts already use Online.
  • Allow you to add them as Connections.
  • Help determine mutual connections between you and other users.

Online does not:

  • Message or notify your contacts without your explicit action.
  • Sell or rent your contact list.
  • Use your contacts for advertising or AI training (no AI is used).

You may revoke contact access at any time through your device settings. Revoking access stops new contact data from being accessed, but previously created mutual connections may remain visible unless you remove them.

7. User Responsibilities & Conduct

You agree that you will not:

  • Use the Service for any unlawful purpose.
  • Harass, stalk, threaten, or harm other users.
  • Post or share content that is violent, hateful, harassing, defamatory, obscene, or otherwise objectionable.
  • Post sexual content involving minors or solicit such content (zero-tolerance; we may report to law enforcement).
  • Impersonate any person or entity, or misrepresent your identity or age.
  • Use bots, automation, scraping, or unauthorized tools to access the Service.
  • Reverse engineer, copy, or modify any part of the Service.
  • Upload viruses, malware, or other harmful code.
  • Interfere with or disrupt the Service or its servers.

You are solely responsible for your interactions with other users, both online and offline. Online does not conduct background checks, verify identities, or guarantee user intentions.

8. Safety & Real-World Interaction Disclaimer

Online is a tool to help you discover and communicate with other people, but we cannot control or guarantee the conduct of users. You acknowledge that:

  • Online does not verify user identities or backgrounds.
  • Online does not guarantee the accuracy of any user-submitted information.
  • Online does not guarantee compatibility, safety, or successful connections.
  • You assume all risks associated with your interactions with other users, whether online or in person.

We are not responsible for any physical injury, emotional harm, financial loss, or other damages arising out of your use of the Service or your interactions with others.

9. User Content & License

You retain ownership of content you upload to the Service, including photos, profile information, traits, interests, and messages (“User Content”).

By submitting User Content, you grant Online a:

  • Non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, store, reproduce, display, adapt, and distribute your User Content for the purpose of operating, improving, and promoting the Service.

This license continues until you remove the User Content or delete your account, subject to our data retention obligations and requirements (e.g., for legal compliance, security, or backup).

You represent and warrant that you own or have the necessary rights to your User Content and that your User Content does not infringe the rights of any third party.

10. Sponsored Content

The Service may display sponsored or promotional content. We may use limited, non-personal information to help display relevant content. We do not sell or share your personal information for advertising, and we do not use AI for ad personalization within the app.

11. Termination

We may suspend or terminate your account, with or without notice, if:

  • You violate these Terms or any applicable law.
  • Your behavior creates risk or legal exposure for Online or other users.
  • We suspect fraud, abuse, or misuse of the Service.
  • We choose to discontinue the Service or any portion thereof.

You may delete your account at any time. Some data may be retained as required by law or for legitimate business purposes (e.g., security logs, payment records).

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

To the fullest extent permitted by law, Online disclaims all warranties, express or implied, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Any warranty that the Service will be uninterrupted, secure, or error-free.
  • Any warranty regarding the accuracy or reliability of user content or location data.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Online and its officers, directors, employees, and agents shall not be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, data, goodwill, or reputation.
  • Damages resulting from your interactions with other users or third parties, including in-person meetings.
  • Damages related to any unauthorized access to or use of our servers or data.

If we are found liable despite the above, our total aggregate liability to you for all claims arising out of or relating to the Service shall not exceed the greater of:

  • The amount you paid to Online in the twelve (12) months preceding the event giving rise to the claim; or
  • Fifty U.S. dollars (US $50).

14. Indemnification

You agree to indemnify, defend, and hold harmless Online and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Service.
  • Your User Content.
  • Your violation of these Terms or any law.
  • Your interactions with other users.

15. Arbitration & Dispute Resolution

To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration, rather than in court, except that you may bring claims in small claims court if they qualify.

You and Online agree that:

  • There will be no class actions or class arbitration.
  • You waive your right to a jury trial.

You may opt out of this arbitration agreement within thirty (30) days of creating your account by emailing legal@online-social-club.com with your full name, associated phone number, and a clear statement that you wish to opt out of arbitration.

16. Governing Law

These Terms and any disputes arising from or relating to them or the Service are governed by the laws of the State of New York, without regard to its conflict of laws principles, except where mandatory laws in your jurisdiction require otherwise.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by in-app notification or email) before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.

Online Social Club LLC (“Online,” “I,” “my,” or “me”) operates a platform that helps people stay connected and meet new people by proximity, shared interests, mutual friends, and being Online (the “Service”).

This Privacy Policy explains how I collect, use, share, and protect your information when you use my website, mobile app, or any related service (collectively, the “Platform”). By using the Platform, you agree to this Privacy Policy and our Terms of Service.

Full Privacy Policy

1. Information I Collect

a) Information You Provide

  • Account Data: Phone number, age, gender, profile photo, and optional attribute fields you choose to provide.
  • Contacts (if authorized): If you choose, I securely access your phone’s contact list to help identify friends already using the Platform. This data is hashed and matched solely for discovery; I do not store your full address book.
  • User Content: Photos uploaded for profiles and messages users send.
  • Communications: When you contact support or give feedback.

b) Information I Collect Automatically

  • Usage Data: App activity, features used, timestamps, performance metrics, and crash reports.
  • Device Data: IP address, device type, OS version, browser type, and device identifiers.
  • Location Data: With permission, I collect precise GPS coordinates to sort nearby profiles. Exact coordinates are never shown publicly. You may disable location access at any time in your device settings.
  • Cookies & SDKs: I use cookies and third-party SDKs (such as Firebase Analytics, AWS Pinpoint, and Crashlytics) to analyze usage, prevent fraud, and improve performance.

c) Information from Third Parties

I may receive limited information from authentication providers (e.g., Apple Sign-In or Google) consistent with their privacy settings.

5. Data Retention

I retain Personal Information only as long as necessary to provide the Service, meet legal obligations, or resolve disputes. Upon account deletion, Personal Information is permanently deleted or anonymized within 30 days, except where longer retention is legally required.

6. User-Generated Content and Moderation

Content you post (photos, messages, interests) remains yours. By posting, you grant Online Social Club a limited, worldwide, royalty-free license to host, display, and distribute that content solely to operate and improve the Platform.

I do not monitor private messages. Public content may be moderated or removed if it violates our Terms of Service or applicable law.

Because I operate in the United States, information may be processed there and in other countries where my processors operate. For transfers from the EU / UK / EEA, I rely on Standard Contractual Clauses (SCCs) and additional safeguards (encryption, access limitation).

10. Your Rights

11. Cookies and Tracking Technologies

I use essential and performance cookies/SDKs. You can adjust preferences through your device or browser. Disabling cookies may affect functionality.

12. Business Transfers

If I participate in a merger, acquisition, or sale of assets, your information may be transferred under confidentiality and data-protection obligations consistent with this Privacy Policy.

13. Changes to this Policy

I may update this Privacy Policy periodically. If changes are material, I will notify you by email or in-app notice 30 days before they take effect. Continued use of the Platform after that date constitutes acceptance of the updated Policy.

14. Jurisdiction and Dispute Resolution

This Policy and any disputes arising under it are governed by the laws of the State of New York, USA, except where mandatory rights under EU or UK law apply.

This Acceptable Use Policy (“AUP”) applies to all users of the Online Social Club LLC (“Online”) Service. The AUP forms part of the Terms of Use and is incorporated by reference. Capitalized terms not defined here have the meanings set forth in the Terms of Use.

Your use of the Service requires that you abide by the rules below. Violations may result in removal of content, suspension, or permanent account termination.

1. Safety & Behavioral Standards

You agree not to, directly or indirectly:

A. Harm others or threaten safety

  • Harass, stalk, bully, intimidate, or threaten other users.
  • Incite violence or encourage self-harm or harm to others.
  • Promote dangerous behavior, illegal conduct, or violence.

B. Engage in discriminatory or hateful conduct

  • Use slurs, hate speech, or derogatory language.
  • Target individuals or groups based on race, ethnicity, national origin, disability, gender, sexual orientation, religion, or other protected characteristics.

C. Engage in sexual misconduct

  • Share sexual content involving minors (zero tolerance, immediate termination).
  • Request sexual content from minors.
  • Post explicit sexual material in violation of applicable law or platform policies.

2. Integrity & Authenticity Standards

You agree not to:

  • Impersonate any person or entity.
  • Provide false age, identity, birth date, gender, traits, or contact information.
  • Misrepresent relationships or mutual connections.
  • Defraud or deceive users.
  • Create multiple accounts without authorization.

3. Content Standards

You may not upload, share, or distribute:

  • Content that is violent, graphic, or gory.
  • Content depicting illegal activity.
  • Content that infringes intellectual property.
  • Spam, advertisements, promotional posts, or commercial solicitations.
  • Malware, viruses, scripts, automation tools, scraping tools, or any other harmful code.
  • Private or confidential information about others without their consent.

4. Platform Integrity & Technical Restrictions

You agree not to:

  • Scrape, harvest, index, or extract data from the Service.
  • Use bots, automation, scripts, or unauthorized clients.
  • Reverse engineer, copy, reproduce, or modify the Service’s code or design.
  • Interfere with the functioning, security, or accessibility of the Service.
  • Attempt to bypass restrictions, privacy settings, or account verifications.
  • Probe, scan, or test Online’s systems or networks for vulnerabilities without prior written authorization.

5. Real-World Interactions

You understand and agree that:

  • You are solely responsible for your interactions with other users.
  • You must follow reasonable safety precautions when meeting others.
  • Online does not verify user identity or conduct background checks.
  • Online does not guarantee user intentions or the outcome of any interaction.

6. Enforcement

Online may take any enforcement action it deems appropriate, including but not limited to:

  • Content removal.
  • Temporary or permanent account suspension.
  • Device-level blocking.
  • Reporting unlawful conduct to law enforcement.
  • Cooperation with legal orders, subpoenas, and investigations.

Enforcement decisions are made at Online’s sole discretion.

The Online community is built on safety, mutual respect, authenticity, and meaningful human connection. These Community Guidelines help shape a positive user experience and apply to all users of the Online Social Club LLC (“Online”) Service.

These guidelines complement the Terms of Use and the Acceptable Use Policy and are enforceable under both.

1. Be Yourself

Online is built around authentic, real-world interactions. We expect:

  • Real and recent photos.
  • Accurate age and birth date.
  • Truthful gender, traits, and interests.
  • Honest intentions with respect to how you use the Service.
  • No impersonation or role-playing that misleads others.

2. Be Respectful

You must respect other users’ dignity and boundaries. Prohibited behaviors include:

  • Mocking, insulting, or degrading others.
  • Harassment or unwanted repeated messaging.
  • Coercive, manipulative, or threatening behavior.
  • Hate speech or discriminatory behavior of any kind.

3. Protect Your Safety and Others’

Online does not verify identity or conduct background checks. Use caution and common sense when interacting with others.

Recommended practices include:

  • Meeting in public places for early interactions.
  • Letting a trusted friend know where you are going and who you are meeting.
  • Avoiding sharing financial information or passwords.
  • Using blocks and reports when you feel unsafe or uncomfortable.

4. Keep Interactions Legal

You may not:

  • Exchange illegal goods or services.
  • Promote or engage in criminal activity of any kind.
  • Encourage use or sale of illegal substances.
  • Facilitate threats, violence, or incitement to harm.
  • Solicit minors or request sexual content involving minors.

Online maintains a zero-tolerance policy on child exploitation and will notify law enforcement where required.

5. Protect Personal Information

Do not share:

  • Home or work addresses unless you are comfortable doing so.
  • Government IDs, passports, or other highly sensitive documents.
  • Banking, credit card, or financial account details.
  • Another person’s personal information without their explicit consent.

Do not pressure others to share information they are uncomfortable sharing.

6. Use Technology Responsibly

You may not:

  • Use scraping tools or bots to access or collect data from the Service.
  • Upload or share malware, viruses, or other harmful code.
  • Manipulate GPS or attempt to spoof your true location.
  • Use unauthorized third-party apps or tools that alter how Online works.

7. Report Issues

We strongly encourage you to report:

  • Harassment or abusive behavior.
  • Underage users or suspected minors.
  • Fake accounts or impersonation.
  • Threats to safety or self-harm content.

Reports are reviewed as promptly as possible and handled confidentially to the extent permitted by law.

8. Consequences

Violation of these guidelines may result in:

  • Warnings or educational notices.
  • Temporary feature restrictions.
  • Content removal.
  • Account suspension or permanent removal.
  • Referral to law enforcement where appropriate.

This Contact Upload & Matching Disclosure explains how Online Social Club LLC (“Online,” “we,” “us,” or “our”) accesses and processes your phone contacts when you choose to enable this feature within the Online app.

1. User Consent Required

Online will only access your phone contacts with your explicit device-level permission. You may revoke this permission at any time through your device settings.

Without permission, contact-based features will not function, and we will not access your contacts.

2. What We Access

If you grant permission, Online may access the following from your phone’s contacts:

  • Contact names.
  • Contact phone numbers.

We do not access or use:

  • Contact photos.
  • Physical or mailing addresses.
  • Contact notes or extended metadata fields.
  • Separate email fields, unless the OS provides them in the same field as the phone number.

3. What We Do With Your Contacts

With your permission, Online may use contact information to:

  • Determine which of your contacts already have Online accounts.
  • Allow you to add those contacts as “Connections.”
  • Help determine “mutual connections,” where you and another user have independently added the same contact.
  • Improve account integrity and reduce fake or duplicate accounts.

Online does not:

  • Message your contacts on your behalf without your explicit action.
  • Notify your contacts that you have uploaded or matched them.
  • Sell, rent, or share your contact list with third parties.
  • Use your contacts for advertising or AI training (Online does not use AI).

4. Mutual Connection Logic

A “mutual connection” is established when both of the following are true:

  • You add a person as a “Connection,” and
  • Another user has independently added that same person as a “Connection.”

Mutual connections are displayed to provide social context and help increase trust in the platform.

5. Data Security & Retention

Contact-related data is protected using industry-standard security measures. We retain contact matching data only as long as necessary to provide the relevant features, meet legal obligations, or resolve disputes.

You may revoke contact access at any time through your device settings. Doing so stops new contact data from being accessed, but existing mutual connections may remain visible unless you remove them manually.

6. Your Responsibilities

By enabling contact access, you confirm that:

  • You have legitimate relationships with the contacts you upload or match.
  • You have the right to upload, share, or process their phone numbers for the purpose of discovering and connecting with them on Online.
  • You will not use this feature to spam, harass, or otherwise harm your contacts.
GPS Location Disclosure

This GPS Location Disclosure explains how Online Social Club LLC (“Online,” “we,” “us,” or “our”) uses your device’s GPS location in connection with the Online app.

1. Permission Required

Online only accesses your device’s GPS location if you explicitly grant permission within your device’s settings and/or the app. You may revoke this permission at any time through your device settings.

Without GPS location access, specific proximity-based features may not function, including:

  • Nearby user discovery.
  • Sorting or ranking profiles by proximity.
  • “Who’s around and Online” features and similar experiences.

2. What We Collect

When enabled, Online may collect:

  • Your device’s GPS coordinates (latitude and longitude).
  • Associated timestamps indicating when the location was captured.
  • General movement or relative positioning information relevant to proximity-based functionality.

We do not:

  • Use AI or machine learning to analyze your location.
  • Display your exact GPS coordinates to other users.
  • Share your precise GPS location with other users.

Other users may see only relative proximity signals (for example, that you are “nearby”), and not your exact address or coordinates.

3. How We Use Location

We use GPS location data to:

  • Show nearby user profiles.
  • Sort and rank users based on proximity.
  • Power features that show who is around and Online in your area.
  • Help prevent fraudulent or spoofed locations.
  • Support safety, abuse prevention, and trust signals within the community.

4. Location Accuracy Disclaimer

GPS location can be delayed, imprecise, or affected by various factors, including network conditions, device settings, environmental interference, or usage of VPNs.

Online does not guarantee the accuracy, precision, or availability of location data. Proximity results and visible information should be treated as estimates.

5. Data Retention

We retain location data only as long as reasonably necessary to provide the features described in this disclosure, to fulfill legitimate business needs (such as security and fraud prevention), or to comply with legal obligations.

We do not store historical location trails for the purpose of advertising or behavioral profiling, and we do not sell your location data.

6. Your Responsibilities

By enabling GPS location, you acknowledge and agree that:

  • You are comfortable with the Service using your GPS location as described to enable proximity-based features.
  • You understand that proximity-based interactions carry inherent risks, and you must exercise your own judgment and follow appropriate safety precautions.
  • You remain solely responsible for your interactions with other users, whether online or offline.
